The Association is a non-profit concern as defined in the Ordinance. The membership of the Association shall be granted for a period of one year and shall expire on the 1st day of January every year irrespective of the date of grant of membership.Only a business concern engaged in the business, development, or marketing of software, IT & IT Enabled Services, information systems consulting, software related to training, provision of any IT or IT Enabled services shall be eligible to become a member of this Association. No individual firm or company will be entitled to have more than one membership in the Association.
There shall be two classes of memberships of the Association:
A member which is either a corporate body with its head office or branch office in Pakistan or a sales-tax-registered business concern having annual turn-over of Rs. 5 million or above shall be called “Corporate Member”.
A member which is not a corporate body or a sales-tax-registered business concern having annual turn-over of Rs. 5 million or less shall be called an “Associate Member.”
In addition, the Association shall also be able to grant “Affiliate Member” status to such organizations or entities as may be decided by the Central Executive Committee from time to time on such terms and on payment of such fee as may be prescribed by the Central Executive Committee. Such Affiliates shall be non-voting members of the Association.
Application For Enrollment As Member
(a) A sole proprietorship firm or any other company or a concern shall be eligible for Membership of of the Association, provided that the firm or company deals in the relevant trade of the Association.
(b) The Membership of the Association shall be for a period of one year, renewable on furnishing proof of filing of a return of income or statement u/s 143-B under the Income Tax Ordinance 2001, for the latest preceding assessment year by the member, whether as an individual, firm or company. However the Companies/Concerns established after 30-06-1994 shall be exempt from the aforementioned requirement for the first renewal but such renewal would not grant them the voting right. The members of Association who are exempt from payment of income tax or if their income falls below the taxable limit will be allowed to produce exemption certificate or copy of tax coupons etc in lieu of filing of return of income or statement u/s 143 B of Income Tax Ordinance, 2001.
(c) A sole proprietorship, firm or company shall be eligible for the membership provided that such a firm or company has its head office or registered office respectively in the territorial jurisdiction of the Association.
(d) A sole proprietorship, firm or company shall not be entitled to simultaneously retain the membership of more than two different types of trade bodies as specified in clauses (a) to (b) of subsection (7) of section of 11 of the Trade Organizations Ordinance 2007.
(e) The Central Executive Committee of the Association shall have the discretion to approve or reject any application for membership assigning any reasons for rejection as it may deem appropriate. In the case of approval, the Central Executive Committee may admit the member into any class of membership based on the criteria which it may devise from time to time. In case of an application not being accepted by the Central Executive Committee the applicant may appeal to the General Body of the Association in this regard, whose decision shall be final. In case of rejection of application either by the Central Executive Committee or the General Body of the Association, a fresh application can be made after an expiry of one year from the date of rejection of the first application. In case of rejection of application for membership, the admission fee and annual subscription paid by the applicant shall be refunded.
Representative Of A Member
For each act of exercising the rights and privileges for membership the representative shall have only one vote. Not more than one authorized representative of a member shall be entitled to take part in, and vote at, any meeting of the Association. The representative should, however, be a part of the senior management. The names of all such representatives or members shall be entered in the Register kept for the purpose by the Association.
Rights And Duties Of A Member
The member shall have the following rights:
(a) To take part according to these Articles, rules and regulations in the activities of the Association;
(b) To have advantage of all information permissible and available with the Association;
(c) To participate according to the rules and regulations of the Association in all privileges and benefits secured for the Association as a body corporate.
(d) To avail the protection, promotion and development of the business in accordance with the Memorandum of Association.
(ii) The members shall perform the following duties:
(a) To make every effort to carry out the aims and objects of the Association as laid down in the Memorandum of Association;
(b) To act upon and carry out all the provisions of these Articles and rules and regulations of the Association;
(c) To bring to the notice of the Association and the office bearers concerned any act or matter likely to cause loss to any member or members of the Association;
(d) To report to the Association and its office bearers any information considered necessary for promoting and/or achieving the aims and objects of the Association.
(e) To do all such acts and deeds at all times, which are considered to be rational and in the interest of the Association.
(f) To abide by any rules, bye-laws, that may be prescribed by the Central Executive Committee.
Disqualification Of Member
A member shall be deemed to have been disqualified and his membership shall cease if he:-
a) Fails to pay his subscription for a period of one month from the date it falls due. The Central Executive Committee may, in case of very special circumstances, extend the grace period for a further period not exceeding a total of 3 months from the due date;
b) Is insolvent or is adjudged by a competent court of law to be of unsound mind or if he is convicted for an offense involving moral turpitude;
c) Violates or contravenes any of the aims and objects of the Association;
d) Is expelled by the Central Executive committee from the membership rolls of the Association on charges of indulging in unethical business practices or acting in a manner prejudicial to the interest of the Association;
e) The member who ceases or winds-up the business, cannot be a member of the Association and his membership will be struck off from the date he ceases/winds-up his business.
The membership fee chargeable from each class shall be fixed by Central Executive Committee subject to approval of the General Body and DTO.The admission fee for both classes of membership shall be Rs.5,000.
The annual subscription is prescribed for the two classes of Members as follows:-
Corporate Members Fee Rs. 30,000
Associate Members Fee Rs 15,000
Subscription shall be paid for the full year in the year of admission if a member is admitted on or before the 30th of June in a calendar year. If the date of admission is after 30th of June then half a year’s membership will be payable.
The admission fee shall not, in any circumstances, be refundable to a member or a candidate, and, in the event of the application of any candidate not being accepted, the admission fee and annual subscription paid by him shall be refunded. Annual subscription for the subsequent years shall become payable on the first day of each year to be settled within 60 days, failing which membership shall become suspended. A suspended member under this Artcile can get himself removed from suspended list by paying his due annual subscription, alongwith a surcharge equivalent to 25% of the rate of annual subscription applicable to this category, by the thirty first day of December of the same year.
If a member fails to pay the due annual subscription by the 31st day of December of the same year, he shall cease to be a member, but shall be eligible for restoration of membership by paying full admission fee applicable to his category afresh along with the full amount of his annual subscription(s) to be computed from the date it became payable after the expiry of period for which the subscription was last paid by him.
A member whose name has been struck off the Register due to resignation or non payment of fees shall be entitled for re-enrollment on payment of admission fee afresh and all arrears outstanding against him. Provided that a member expelled from the Association shall not be readmitted before the expiry of one year from the date of expulsion.
If a person is admitted as a member for the first time before the expiry of half year, he shall pay the full amount of subscription applicable to his category of membership, and in other case, he shall pay subscription for the half year only.
When a candidate has been duly admitted in accordance with Article 7 hereof, the Association shall forthwith send to such a candidate at the address in the application for membership a request for payment of the entrance fee and subscription due under these Articles. Upon payment of such entrance fee and subscription, the elected candidate’s name shall be entered in the Register of Members of the Association and, on being so entered, he/it shall become a member of the Association.Any member of this Association shall have on the changing of the firm’s name to put a fresh application for Membership in which case no membership fee shall be charged provided the applicant has accepted the assets and liabilities of the original firm. The Central Executive Committee will be competent to decide such case on merits whose decision shall be final and binding.
